Producer Agreement
Version 2026-09-29 · In effect from 29.09.2026
This English text is a courtesy translation. The Hebrew version at layla.events/he/producer-terms is the binding agreement under Israeli law. In any conflict, the Hebrew prevails.
This agreement applies to every producer or organizer that publishes events and sells tickets through the Layla platform. It is made between NEXO TECHNOLOGIES LTD (Company No. 517359329), with a registered office at 64 HaHei BeIyar, Tel Aviv 6219812, Israel, trading as "Layla" ("Layla"), and the producer whose details appear in its producer account on the platform (the "Producer").
This agreement is in addition to the Terms of Use and the Privacy Policy. In any conflict on a matter between Layla and the Producer, this agreement prevails. A separate signed agreement between Layla and a particular producer prevails over both. Accepting this agreement by clicking on the platform binds like a signature, and Layla keeps the accepted version, the time of acceptance and the details of the person who accepted.
1. Layla as the Producer's agent
1.1 The Producer appoints Layla as its agent to market and sell tickets to its events and to collect the price from buyers in the Producer's name and on its behalf, under the Agency Law, 5725-1965.
1.2 The seller is the Producer. The ticket sale is made between the buyer and the Producer. The Producer is the service provider and is responsible to the buyer for holding the event, its content, its quality and its safety. Layla is not a party to the sale and is not the seller of the ticket.
1.3 Sales proceeds. Layla collects the sales proceeds as the Producer's agent and holds them until it pays them to the Producer under section 7. Layla keeps a separate record of the proceeds for each producer and each event, and may deduct from them the amounts due to it under this agreement and make refunds to buyers from them.
1.4 Disclosure to buyers. The payment page, the ticket and the receipt state that Layla acts as the Producer's agent and show the Producer's name. The buyer's receipt is issued in the name of and on behalf of the Producer and states that the Producer is the seller.
1.5 Taxes. The Producer will provide and keep up to date its legal name, its business or company number and its VAT status. Reporting to the tax authorities and paying taxes on the sales proceeds are the Producer's sole responsibility. A producer that is an exempt dealer (עוסק פטור) is responsible for tracking its income from all sources; if it crosses the exempt-dealer ceiling set by law, it will register as a licensed dealer and tell Layla in writing within 14 days. Notices Layla sends near the ceiling are an aid only and do not reduce the Producer's responsibility. Layla may suspend a producer that crossed the ceiling without notice, and will cooperate with tax-authority requests as the law requires.
1.6 The Producer will not present Layla as the organizer of the event, as a partner in it or as responsible for holding it.
2. Service fee, commission and Layla's income
2.1 Buyer service fee. In addition to the ticket price the Producer sets, the buyer pays Layla a service fee of 8% of the ticket price, VAT included, by default. Layla may set a different service-fee rate for the Producer, or for a particular event of the Producer, between 0% and 20% of the ticket price. The rate that applies is shown to the Producer on the "Contract & fees" page of its account and to the buyer on the payment page before the order is confirmed, and a new or changed rate applies only to sales made after it is shown there. The service fee belongs to Layla and is not deducted from the Producer's sales proceeds.
2.2 Producer commission. The Producer's commission rate is 0% by default. Layla may set a commission for the Producer, or for a particular event of the Producer, of up to 20% of the ticket price, plus VAT as required by law, charged to the Producer. The rate that applies is shown on the "Contract & fees" page of the Producer's account, and a new or changed rate applies only to sales made after it is shown there. Where a commission applies, it and its VAT are deducted from the sales proceeds, and Layla issues the Producer a tax invoice for them. The Producer sets the ticket price; it does not choose whether to absorb the commission or include it in the price.
2.3 No hidden fees. Apart from sections 2.2, 3 and 4, and paid services the Producer chooses to order on the platform (such as SMS credits), Layla charges the Producer no processing fee or other payment for the basic services under this agreement. This does not affect the recovery of amounts under section 8.
2.4 The Producer's consent to Layla's income. The Producer agrees that: (a) the service fee belongs to Layla; (b) the commission belongs to Layla; (c) the Boost difference is used in full to fund points for buyers under section 3, and the Producer has no right to have it returned; (d) any interest or yield earned on the sales proceeds while Layla holds them belongs to Layla, and the Producer is not entitled to interest on them; (e) Layla also acts as agent for other producers, including producers of competing events, and promotes their events too.
3. Layla Boost
3.1 For each event the Producer may opt into Layla Boost, at a Boost rate it chooses from the rates shown in its account. The Boost rate is the total rate charged on the ticket — the service fee, the commission and the Boost difference together — and it never exceeds 15% of the ticket price.
3.2 The Boost difference. The base rate is the service-fee rate plus the Producer's commission rate, as recorded on the order. The Boost difference is the difference between the Boost rate and the base rate (where positive), multiplied by the price of the tickets sold. For example: an 8% service fee, a 0% commission and a 15% Boost give a Boost difference of 7% of the ticket price.
3.3 The Boost difference is deducted from the Producer's sales proceeds, plus VAT as required by law, as set out on the tax invoice Layla issues to the Producer.
3.4 The Boost difference is used in full to fund LaylaPoints awarded to the ticket buyer (one point is worth ₪1), under the LaylaPoints terms, including the rules for unlocking points. Layla keeps no part of the Boost difference.
3.5 Boost applies only to tickets sold in the Layla app. A ticket sold on the website is not charged Boost and does not earn points.
3.6 In return, Layla will give the event enhanced promotion, including prominent placement on the platform and in its WhatsApp communities, at its professional discretion and with no guarantee of exposure, placement or sales.
3.7 The Boost rate applies to tickets sold from opt-in until the Producer leaves Boost; leaving affects only later sales. If the Producer's base rate is 15% or more, Boost is not available.
3.8 Refunds after points are awarded. If a ticket for which points were awarded is refunded, points not yet unlocked are cancelled. If the points were already unlocked, the Producer bears their value, which is deducted from its sales proceeds.
4. Points the Producer awards
4.1 The Producer may award LaylaPoints (one point is worth ₪1) to app buyers, at its own cost: (a) through a promo code that awards a fixed whole number of points per ticket, with a cash discount, without one, or both; (b) through an event setting under which every app buyer receives a fixed number of points per ticket, with no code.
4.2 The value of the points the Producer awarded is deducted from its sales proceeds, with no VAT and no top-up from Layla.
4.3 Marketing code. The Producer may mark one code per event as its "marketing code". An app buyer who uses it pays the full price and receives points worth the code's discount plus 10%, which Layla funds. The value of the discount is deducted from the Producer's sales proceeds.
4.4 Points are awarded to the buyer and unlocked under the LaylaPoints terms, and section 3.8 applies to them as well.
4.5 A buyer may pay with points, up to the full price of an in-app order. The Producer receives its full share for those tickets, as if they were paid in cash.
5. Free promotion of events by Layla
5.1 Layla may feature and promote the Producer's public events free of charge in its app, on its website, on its social channels and in its WhatsApp communities, at its discretion and with no obligation to do so. Private events are not promoted on these channels.
5.2 For this purpose the Producer grants Layla a non-exclusive, royalty-free licence, for the term of this agreement and 12 months after the event ends, to use the Producer's name, logo, event name, description, images, videos and artist names that the Producer uploaded, to edit them reasonably (cropping, resizing, translation), and to share ticket links.
5.3 The Producer warrants that it holds all rights and consents needed for this, including from artists and people pictured, and will indemnify Layla against any claim about content it supplied.
5.4 Layla is the advertiser of messages it sends on its own channels, and sends them in accordance with the law. Layla does not guarantee exposure, placement or sales.
6. SMS messages the Producer sends through the platform
6.1 Technical tool. The platform gives the Producer a tool for sending marketing SMS messages (a "campaign"). The Producer alone decides whether to send a campaign, to whom, when and with what text. Layla provides only the technical tool and does not set the content, the recipients or the send time.
6.2 The Producer is the advertiser. For the purposes of section 30A of the Communications (Telecommunications and Broadcasting) Law, 5742-1982 (the "Communications Law"), the Producer is the advertiser of every message in its campaigns and is responsible to recipients and under any law for the content, the choice of recipients, their consent, the labelling of the message and the sending.
6.3 Confirmation before every campaign. Before each send, the Producer confirms on the platform that it is the advertiser and that it is responsible for the content, the recipients' consent and the labelling. Layla records who confirmed and when.
6.4 Recipient consent. The Producer will send campaigns only to: (a) buyers who gave explicit consent at checkout to receive advertising from the Producer and have not withdrawn it; (b) recipients on a list the Producer uploaded, from whom the Producer obtained explicit prior consent to receive its advertising by SMS, as section 30A(b) of the Communications Law requires. With every list upload and every send, the Producer represents that it holds such consent for every recipient. The Producer will keep records of consent for at least 3 years after the last message to that recipient and give them to Layla within 3 business days of request.
6.5 Mandatory details. Layla automatically adds the Producer's name and an opt-out link to every message. The Producer will not remove or hide them. Labelling the message as advertising, where the law requires it, is the Producer's responsibility.
6.6 Sender name. The Producer may request a sender name. It must be the Producer's own name or a brand it is entitled to use, and must not impersonate Layla, a public body, a bank, another producer or anyone else. Layla may refuse a sender name, ask for documents and revoke an approval.
6.7 Opt-outs. The Producer will honour every opt-out request, however given, immediately and in any event within two business days, and will tell Layla about opt-outs it receives directly. An opt-out recorded on the platform applies to all the Producer's later campaigns. Layla will not send a campaign to a number that asked not to receive advertising from Layla. A removed number must not be uploaded again.
6.8 Content. Messages must be lawful, accurate and not misleading, and must not include alcohol promotion aimed at minors, unlawful gambling or lotteries, offensive, sexual or discriminatory content, harmful links or impersonation. Layla may, but need not, review a campaign, delay it, stop a running campaign and suspend the tool on a complaint or a reasonable suspicion of breach. Layla may set quiet hours and frequency caps.
6.9 Indemnity. On Layla's first demand, the Producer will indemnify Layla for any payment, damages (including exemplary damages under section 30A(j) of the Communications Law), fine, expense and reasonable legal fees Layla incurs in connection with the Producer's campaigns, including in a class action. Layla will notify the Producer of a claim and let it defend. Layla may set these amounts off against any payment to the Producer, and hold back a reasonable amount from future payments while a claim is pending.
6.10 Layla's responsibility. Layla is responsible for the tool working properly and for enforcing opt-outs recorded in it. Layla is not responsible for campaign content, the choice of recipients or the consents the Producer declared. Nothing in this section limits liability that cannot be excluded by law.
7. Payment to the Producer
7.1 Payment date. Layla will pay the Producer the net amount for each event by bank transfer (MASAV) to the Producer's approved bank account about two days after the event ends, as soon as the payment provider has transferred the event's sales proceeds to Layla. If the event is under review under section 7.5, payment is made when the review ends — at the latest 30 days after the proceeds reached Layla or two days after the event, whichever is later.
7.1A The payout run. In practice, Layla runs payouts every day at 07:00 Israel time and pays for every event that ended at least two days earlier, together with any earlier balance not yet paid. The payment provider transfers each month's sales to Layla on the 6th of the following month, and sales made on the last day of a month in the cycle after that. A payout therefore includes only sales proceeds the payment provider has already transferred to Layla; proceeds transferred later are paid by the first run after they arrive. For example, an event that ended on 2 November whose tickets sold in September is paid on 5 November. A sale made on 31 October for an event on 5 November is paid on 6 December, because its money only reaches Layla then.
7.1B Earlier payment. Layla may, at its discretion, pay earlier, in whole or in part. One earlier payment does not oblige further earlier payments. Payment dates are subject to sections 7.3 to 7.6.
7.2 The net amount is the sales proceeds less: (a) the commission and its VAT; (b) the Boost difference and its VAT; (c) the value of points the Producer funded under sections 3.8 and 4; (d) refunds to buyers; (e) chargebacks decided against the Producer; (f) the reserve under section 7.4; (g) any other amount the Producer owes Layla under this agreement that has fallen due. Layla gives the Producer a statement that itemises these.
7.3 Conditions for payment. Payment is subject to the law and to these conditions: (1) completion, to Layla's satisfaction, of the know-your-customer / business (KYC/KYB) process, including proof of a bank account in the Producer's name, under the Prohibition on Money Laundering Law, 5760-2000; (2) no reasonable concern that the funds are not legitimate; (3) no reasonable concern that the event was held contrary to law. The Producer will cooperate and provide any document required.
7.4 Initial reserve for a new producer. For a new producer, Layla holds 5% of the Producer's total event revenue (cash and LaylaPoints) as a reserve for refunds and chargebacks. The reserve is released on the date shown in the Producer's account (currently: 30 days after the end of its first event), less refunds and chargebacks decided by then, and is paid to the Producer by the first payout run after its release. Layla may waive or reduce the reserve at any time.
7.5 Holding a payment. Layla may hold a payment, in whole or in part, if: (a) the know-your-customer process is not complete; (b) there is a reasonable suspicion of fraud, or an unusual rate of complaints or chargebacks for the event; (c) the event was cancelled, postponed or materially changed, until refunds are complete; (d) a court order or a demand from a competent authority was received; (e) the Producer materially breached this agreement. Layla will tell the Producer about the hold and its reason, and release the funds once the reason is removed.
7.6 Set-off and errors. Layla may set off against any payment to the Producer any amount the Producer owes it under this agreement or that it incurred because the Producer breached this agreement or the law. An amount paid to the Producer in excess or in error will be returned to Layla within 7 days of its demand, or set off against later payments. Layla is not liable for a delay in a transfer that is not caused by its negligence.
8. Cancellations, refunds and chargebacks
8.1 Every ticket is subject to the cancellation and refund policy in the Terms of Use, which is shown to the buyer before purchase. The Producer authorises Layla to make refunds under it from the sales proceeds.
8.2 Cancellation by the buyer. On a lawful cancellation by the buyer, a cancellation fee of 5% of the transaction or ₪100, whichever is lower, is charged. Of that fee Layla keeps up to 2% of the price of the cancelled tickets, and the rest belongs to the Producer. Layla returns its commission on the cancelled tickets.
8.3 Event cancellation. If the Producer cancels an event, it will report it immediately through the management interface. Every buyer receives a full refund to the original payment method, with no cancellation fee. If the event is postponed or materially changed, every buyer may cancel and receive a full refund.
8.4 Goodwill refunds. The Producer may approve a refund beyond the policy, full or partial, through the management interface. Such a refund is deducted from the Producer's sales proceeds.
8.5 Chargebacks. The Producer bears the amount of every chargeback related to its events that is decided in the cardholder's favour, except a chargeback caused by Layla's error or negligence. The Producer will give Layla any document needed to answer a chargeback within 5 business days of request.
8.6 Recovery. If a refund or a chargeback is not covered by sales proceeds held for the Producer, Layla may set the amount off against any future payment to the Producer, charge the Producer's saved payment method after at least 5 business days' prior notice itemising the amount and its reason, or demand the amount from the Producer, who will pay it within 14 days.
9. Buyer information
9.1 The Producer receives from Layla the buyer and attendee details needed to run the event, entry, safety and customer service. From receipt, the Producer is an independent controller of its copy, will use it only for those purposes, will secure it under the Privacy Protection (Data Security) Regulations, 5777-2017, and will not sell or pass it to a third party.
9.2 The Producer will not send buyers advertising, except to buyers who explicitly agreed to it on the payment page and under section 6. The Producer will tell Layla within 24 hours of any security incident involving the information it received.
10. The Producer's obligations for the event
10.1 The Producer will hold the event on the date, at the place and with the content published, and is responsible for all content it publishes, which must be accurate, complete and not misleading.
10.2 The Producer is responsible for obtaining and holding every licence, permit and approval the event requires, for the safety of attendees, for the event's accessibility, for enforcing any age limit at the door and for not selling alcohol to minors. It will not sell more tickets than the permitted capacity and will not charge buyers extra at the door for a ticket bought on the platform.
11. Liability and indemnity
11.1 The Producer is liable to buyers, attendees and any third party for any damage caused in connection with the event, and will indemnify Layla for any payment, damage or reasonable expense (including legal fees) it incurs because of a claim, demand, fine or proceeding arising from the event, from content the Producer published or from the Producer's breach of this agreement or the law, provided Layla notified the Producer of the claim within a reasonable time and let it defend.
11.2 Layla is responsible for performing its services with reasonable skill and for paying the Producer the amounts due to it under this agreement. Layla is not liable for indirect or consequential damage, including loss of profit or goodwill, except damage caused wilfully or by gross negligence and liability that cannot be limited by law.
12. Term, termination and changes
12.1 This agreement takes effect on acceptance. Either party may end it on 30 days' notice. Layla may end the agreement or suspend the Producer's account immediately if the Producer materially breached it, gave false details, cancelled an event without settling refunds, or if there is a reasonable suspicion of fraud or of harm to buyers. Events that have already sold tickets remain subject to this agreement.
12.2 Layla may update this agreement by notice to the Producer, by email and in the management interface, at least 14 days before the change takes effect, unless the change is required by law. A new version is presented for acceptance in the management interface. A producer that does not agree to a change may end the agreement before it takes effect.
13. Governing law and jurisdiction
Israeli law alone applies to this agreement. The competent courts in the Tel Aviv-Yafo district have exclusive jurisdiction over any dispute between Layla and the Producer.
